1. INTRODUCTION

Telstraight International Inc. ("we", "us", or "our") provides services that allow users to display, promote, and sell designs, and customers to purchase products through our websites and related services (collectively, the "Services"). By using our Services, you agree to these Terms of Service ("Terms"), our Privacy Policy, and any other policies referenced herein.

2. ACCOUNTS & REGISTRATION

You must be at least 18 years old to use the Services. By registering an account, you agree to provide accurate, current, and complete information and to keep your password secure. You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts for violations of these Terms.

3. USER CONTENT, AI & ACCEPTABLE USE

User Content Ownership: You retain ownership of any content you post, upload, or generate using the Services ("User Content"). By submitting User Content, you grant Telstraight International Inc. a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, and distribute your User Content for the purpose of operating, promoting, and improving the Services.

AI Generation Disclaimer

Our Services utilize Artificial Intelligence (AI) to generate designs based on your prompts. You acknowledge that:

AI generation is an evolving technology. We do not guarantee that generated designs will be error-free, unique, or exactly match your prompt.
You are responsible for the prompts you input. You agree not to use prompts that infringe on third-party intellectual property rights or violate our content policies.

Prohibited Content & Conduct

You agree not to generate, upload, or share content that:

Is illegal, hateful, violent, sexually explicit, or pornographic.
Infringes on any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
Harasses, abuses, or harms another person or group.

Content Moderation & Appeals

We reserve the right to review and remove any User Content that we believe violates these Terms or our policies. If you believe your content was removed in error, you may appeal by contacting us at the support email provided in the App.

4. AFFILIATE PROGRAM TERMS

If you participate in our Affiliate Program to refer users or products ("Affiliate"), the following terms apply:

Independent Contractor: Your relationship with Telstraight International Inc. is that of an independent contractor. Nothing in these Terms creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties.
Marketing & Disclosure (FTC Compliance): When sharing referral links, you must clearly and conspicuously disclose your relationship with us (e.g., using #ad, #sponsored, or stating that you earn a commission). Failure to comply with FTC guidelines or applicable local laws may result in immediate account termination and forfeiture of commissions.
Commission Structure: You earn a commission on net sales (excluding taxes, shipping, returns, and chargebacks) generated through your unique tracking links. The current commission rate is specified in the App dashboard and is subject to change.
Locking Period: Commissions are held in a "Pending" state for a period determined by us (currently set to 35 days, but subject to change at our sole discretion) after the order is shipped. This period accounts for our return policy and processing time.
Fraud Prevention: We strictly prohibit self-referrals, cookie stuffing, bot traffic, bidding on branded keywords, or any fraudulent activity to generate commissions. We reserve the right to withhold commissions and suspend accounts if fraud is detected.

5. CUSTOMER TERMS AND CONDITIONS

Orders & Acceptance: All orders placed through the Services are subject to availability and our acceptance. We reserve the right to refuse or cancel any order for any reason.

Pricing & Payments: Prices and shipping costs are displayed at checkout. You agree to pay all charges incurred by you or any users of your account and credit card at the prices in effect when such charges are incurred.

Returns: Products are subject to our Return Policy, which is available within the App. Refunds are processed to the original method of payment.

6. MOBILE SERVICES & SMS

The Services include certain features that are available via a mobile device. Standard carrier data and messaging rates apply. If you opt-in to SMS marketing, you can opt-out at any time by replying "STOP". You agree that we may send you automated text messages if you provide your mobile number.

7. RESOLUTION OF DISPUTES

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS AND WILL HAVE A SUBSTANTIAL IMPACT ON HOW CLAIMS YOU AND TELSTRAIGHT INTERNATIONAL INC. HAVE AGAINST EACH OTHER ARE RESOLVED.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Arbitration Agreement

You and Telstraight International Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services (collectively, "Disputes") will be settled by binding arbitration, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party's intellectual property rights.

Class Action Waiver

YOU AND TELSTRAIGHT INTERNATIONAL INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

8. ADDITIONAL TERMS & CONDITIONS

Indemnification: You agree to indemnify, defend, and hold harmless Telstraight International Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services, your User Content, or your violation of these Terms.

Disclaimer of Warranties: The Services are provided "AS IS" and "AS AVAILABLE" without any warranties of any kind, whether express or implied.

Limitation of Liability: To the maximum extent permitted by law, Telstraight International Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability for any claims under these Terms shall not exceed the amount you paid us in the past three months.

Export Controls: You represent and warrant that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.

9. GENERAL PROVISIONS

Force Majeure: We shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, war, strikes or labor disputes, embargoes, government orders, or any other force majeure event.

Entire Agreement: These Terms constitute the entire agreement between you and Telstraight International Inc. regarding your use of the Services and supersede any prior agreements.

Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

No Waiver: The failure of Telstraight International Inc. to enforce any right or provision of these Terms will not constitute a waiver of future enforcement of that right or provision.

Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms at our sole discretion without restriction.
